1. Corporate Identity

Lee Distribution is a trading name of Lee Distribution Group Ltd, a private limited company registered in England and Wales (Company No. 17020139).

Lee Distribution Group Ltd operates as a central management and administrative services company for a number of separately incorporated companies under common ownership and management.

2. Separately Incorporated Companies Under Common Ownership

The following companies are private limited companies incorporated in England and Wales and operate under common shareholding and management:

  • Lee Distribution Chorley Ltd – Company No. 12379205

  • Lee Distribution South Ribble Ltd – Company No. 12378695

  • Lee Distribution Preston Ltd – Company No. 12378718

  • Lee Distribution Wigan Ltd – Company No. 13823555

  • Lee Distribution Leigh Ltd – Company No. 13823586

  • Lee Distribution Bolton Ltd – Company No. 13823598

Each company is a distinct legal entity and:

  • Trades in its own name;

  • Enters into contracts in its own legal capacity;

  • Maintains separate accounting records and bank accounts;

  • Is independently responsible for its own liabilities and statutory compliance.

 

No company is liable for the debts or obligations of another company unless expressly agreed in writing.

3. Management Services & Intellectual Property

Lee Distribution Group Ltd acts solely as a management and administrative services provider and is not a formal holding company.

​

Lee Distribution Group Ltd:

  • Owns and controls the “Lee Distribution” brand and associated intellectual property, including logos, websites, domain names, and marketing materials;

  • Provides strategic management, administrative support, compliance coordination, marketing, and operational oversight services;

  • Charges commercial management or service fees to associated companies for services provided.

 

All intercompany services are documented and invoiced in accordance with normal commercial practice.  Ownership of intellectual property remains with Lee Distribution Group Ltd. Associated companies are permitted to use the brand and related materials for the purposes of their own business activities.

4. Trading & Contractual Position

Each company operates within its own defined geographic area and contracts directly with its customers.  For the avoidance of doubt:

  • Contracts are formed only with the specific legal entity named in the relevant agreement, quotation, or invoice.

  • Each company is responsible for its own Corporation Tax, PAYE, employment obligations, and regulatory compliance.

  • Each company manages its own financial affairs independently.

 

Centralised branding and administrative support do not create joint liability between companies.

5. Tax Position

Each company independently monitors its own taxable turnover.  Each company:

  • Files its own statutory accounts with Companies House;

  • Submits its own Corporation Tax returns to HMRC;

  • Maintains separate financial records;

  • Operates separate payroll and employment arrangements.

 

Management and service fees between companies are accounted for in accordance with UK tax legislation and standard commercial practice.

6. Enquiries & Communications

All general enquiries made through:

  • Websites;

  • Central email addresses;

  • Telephone numbers;

  • Marketing materials;

 

Are administered by Lee Distribution Group Ltd in its capacity as a management and administrative services provider. Enquiries are forwarded internally to the appropriate company based on geographic location and service requirements.  Submission of an enquiry does not create a contractual relationship with any company unless confirmed in writing by the relevant legal entity.
